Hosting Services Contract
This Contract (the “Agreement”) is made and entered into on the date of acceptance by the Client (“Client” or “You”) and Clicks n Code (“Host” or “We”).
- The Client agrees to pay the fees agreed upon for the hosting services.
- Term, The term of this Agreement, shall commence on the date of acceptance by the Client and shall continue until terminated as provided in this Agreement.
- Payment Terms: The Client agrees to pay the hosting services fees per the payment schedule set forth in Exhibit A. The Client’s failure to make payment by the 15th day of each month shall result in termination of hosting services.
- Termination, Either party, may terminate this Agreement at any time upon written notice to the other party. In the event of a breach of this Agreement by either party, the non-breaching party may terminate this Agreement upon written notice to the breaching party.
- Refund Policy There shall be no refunds for any hosting fees the Client pays.
- Warranty Disclaimer THE HOST MAKES NO WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
- Limitation of Liability IN NO EVENT SHALL THE HOST BE LIABLE FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION DIRECT OR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, LOSSES OR EXPENSES ARISING IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE HOSTING SERVICES PROVIDED HEREUNDER.
- Governing Law This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Host is located.
- Entire Agreement This Agreement constitutes the whole Agreement between the parties and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral, relating to the subject matter of this Agreement. This Agreement may not be amended or modified except in writing, signed by both parties.
- Assignment The Client may not assign its rights or obligations under this Agreement without the prior written consent of the Host. The Host may assign its rights and obligations under this Agreement without the Client’s prior written consent.
